General Specifications

1. Introduction

These General Specifications govern all orders and cooperation with CLOTHREADY. By placing an order, you confirm your acceptance of these terms. The latest version is always available on our official website.

These General Specifications are applicable to all CLOTHREADY clients and set the standards for business procedures, quality, payments, logistics, and dispute resolution. These specifications are subject to periodic revisions to align with the ongoing evolution of CLOTHREADY and our quality systems.

3. Minimum Order Quantity (MOQ)

• Our standard MOQ is 30 pieces per style and color (up to 5 sizes per style). All custom orders require clients to complete our client onboarding process before development.

4. Tech Pack Requirements

A complete tech pack is mandatory for any custom order. The tech pack must include:

• Product details (model, colors, sizes, measurement chart, fabric info)
• Label/hang tag details (design, dimensions, placement)
• Customization details (technique, dimensions, location)
• Company information and shipping address

We provide a free tech pack template. Incomplete or unclear tech packs are interpreted at the client’s risk. CLOTHREADY is not responsible for missing or ambiguous info.

5. Pricing & Payment Terms

• No quotation is given without a full tech pack.
• Quotes are valid for 5 days.
• Orders below $40,000: 100% upfront payment.
• Orders above $40,000: 50% upfront, 50% before shipping.
• First-time clients: 100% upfront.
• Small orders (under 150 units per style/color): 100% surcharge; under 50 units: 200% surcharge.
• Proforma invoice is valid for 24 hours; late payment incurs a $55 issuance fee plus $75 review fee.
• Expedited sample fee: +50% of sample cost (refundable if deadline not met).
• Credit card payments: 10% platform fee; bank transfer fees are borne by client.
• All prices in USD, excluding VAT/tax unless otherwise stated.

All seam adjustments or special fitting specifications that alter the fit or are critical to the model must be explicitly stated in the technical packs.

6. Sample Development Policy

• Sample development and print/embroidery setup fees are non-refundable.
• Labdips (for colors not in stock): $50 each.
• All sample and development services are non-returnable and non-refundable.
• Samples are made with available materials unless otherwise requested.

7. Production Process

• Production starts after sample approval and receipt of the approved sample.
• Changes after order confirmation will incur a $150 review fee if within 24 hours, and are not accepted after 24 hours.
• Adding accessories or changes after confirmation will pause production and reset the lead time for the next available slot.
• If the client skips the sample process, all risks are assumed by the client; such orders are non-refundable.

8. Lead Times & Holidays

• Standard production: 4–5 weeks.
• Sample development: 1–2 weeks.
• Allow a tolerance of 2–3 weeks for material availability and unforeseen delays.
• Factory is closed during major Chinese holidays (CNY, Qingming, Labor Day, Dragon Boat, Mid-Autumn, National Day).
• Orders near holidays may have longer lead times.

9. Quality Control & Tolerances

• Bulk production: up to 10% defect tolerance is accepted.
• Size tolerance: up to ±2cm on major points, or 50% more for washed/yarn-dyed items.
• Sample-to-bulk differences may occur due to process/batch variation.
• Long-term fabric storage (>3 months): all risks and costs are borne by the client.

Pieces with non-critical defects exceeding the 5% tolerance, detected during final quality control, may be shipped to the client after their confirmation, with a 30% discount on the piece value.

10. Shipping Terms

• Standard term: FOB China port. Risk transfers to client after loading.
• Final payment for shipping required within 2 business days of invoice.
• Late payment: goods moved to external storage at client’s cost ($120/day plus $80 handling).
• Shipping insurance is optional but recommended (5% of invoice value).
• Clients are responsible for any import taxes or customs fees.
• No address changes allowed after shipment is processed.

11. Claims & After-Sales

• All claims must be submitted within 30 days of receipt.
• We offer exchanges for defective products or if the product does not match approved specifications.
• No returns for custom products due to measurement errors or personal preference.
• "Perfect Fit Guarantee": one free alteration per product type.
• Major defects (e.g., >1.5cm measurement deviation): replacement upon agreement, with photos and measurements provided within 2 months.

12. Storage Policy

• Free storage for fabrics up to 1 month; after that, quality risks are borne by the client.
• Reference materials/samples are kept for up to 2 months after order completion or cancellation, after which they are recycled unless otherwise agreed (with extra fee).

For Private Label productions, payment is always 100% prior to production, unless a physical sample is requested (see point 'Samples').

All shipping costs must be paid in full prior to the shipment of any product (production, samples, or accessories/raw materials).

Additional Shipping

• All shipments are at the client's responsibility and risk. As CLOTHREADY does not have an in-house transportation department, all shipments scheduled by us are no longer our responsibility from the moment of collection by the carrier.
• Shipments/collections scheduled or carried out by the client are their sole responsibility. CLOTHREADY is not responsible for costs, losses, or customs withholding. It is the client's duty to resolve any issues arising from these shipments/collections.

Additional Samples

• All samples are charged at 2x their production price.
• All samples made by CLOTHREADY that are not confirmed for production will be charged for all development hours plus the sample price.
• Private Label product quotations do not include sample production. If the client requests a sample, the cost is 5x the quoted cost per model.
• Sample prices are estimates based on a 200-piece order. Possible price changes for production are safeguarded and may occur due to fluctuations in the prices of raw materials, accessories, or dyeing.

Additional Lead Times

• The lead time for sample production is approximately 4–6 weeks.
• The lead time for final production is approximately 8–10 weeks.
• All mentioned lead times commence only once CLOTHREADY has received all raw materials, accessories, labels, and applicable payments.
• All lead times are estimates and subject to change due to occasional high workflow in the production line.
• Any changes to the models during production require reconfirmation by CLOTHREADY, and the lead times will reset from the new date of approval.

13. Legal

• Risk passes to client upon delivery/FOB.
• All legal disputes are governed by the courts at CLOTHREADY’s registration locality.
• Continuing correspondence or placing orders implies full acceptance of these terms.
